Effective corporate governance structures encourage companies to create value through entrepreneurism, innovation, development and exploration, and provide accountability and control systems commensurate with the risks involved.
Corporate governance practices will evolve in the light of the changing circumstances of a company and must be tailored to meet those circumstances. “

The Board of directors is responsible for the governance of the Company and its subsidiary companies. Good corporate governance is a fundamental part of the culture and business practices of the Plan B Group. The Company has modelled its governance framework wherever appropriate given the Group’s particular circumstances on the ASX Corporate Governance Council’s Corporate Governance Principles and Recommendations 2nd edition. Where the Company has considered that a recommendation is inappropriate and it has not adopted that recommendation, a statement to that effect has been made consistent with the “if not, why not” approach.
