Director Resignation

Plan B Group Holdings Limited (“Plan B” or the “Company”) advises that Ms Pauline Vamos intends to resign as a non-executive Director of Plan B and Plan B Trustees Limited on 30 June 2008.

Ms Vamos was recently appointed as the Chief Executive Officer of the Association of Superannuation Funds of Australia (“ASFA”). In view of her demanding role at ASFA, the Board understands this decision in relation to Plan B which also reflects the desire by all parties to avoid potential perceived conflicts of interest.

Ms Vamos has been a Director of Plan B and its precedent companies since 2004. Her extensive experience in the financial services industry and specialist skills in strategic compliance, risk management and regulatory issues have meant that she has been a significant and valued contributor to the growth of Plan B and its high standards of fiduciary responsibility.

Ms Vamos has been Chair of the Board’s Governance and Risk Management Committee since Plan B’s listing on ASX in July 2007, where her ongoing commitment and compliance focus has been most valued.

Plan B will seek to identify and appoint a suitable non-executive Director to the Board, taking into account the appropriate mix of skills required for the continued successful future growth of Plan B’s integrated wealth management business.
